Terms of Service

These Terms of Service ("Terms") govern your access to and use of Duebay (the "Service"), including the website, the REST API and the MCP server. By creating an account, importing invoices, generating an API key, or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

What the Service is, and isn't

Duebay tracks the invoices you import, computes aging, DSO and late fees, and sends the reminder emails you configure, escalating on the schedule you approve, as a website, a REST API and an MCP server for AI agents. Duebay is software, not a debt collection agency, a law firm or a lender. It does not practice law and does not provide legal advice.Late-fee and interest computations are arithmetic from your inputs plus general statutory information with citations; statutes change and contracts vary, and you remain solely responsible for confirming that any fee you charge is permitted by your agreement and applicable law. You are responsible for the accuracy of the invoice data you import and for having the right to process your customers' contact details.

Reminder emails sent on your behalf

Reminder sequences send email to your customers under your business name with your reply address. You are responsible for the truthfulness of what those emails claim (amounts, due dates, fees) and for using the Service only to collect genuine debts in a lawful manner. You agree not to use the Service to harass, to send content unrelated to collecting your invoices, or to contact people who have no billing relationship with you. We may suspend sending that looks like abuse, and our email processor enforces its own anti-abuse rules.

Accounts & API keys

You must provide accurate information when creating an account and keep your login credentials and API keys confidential. You're responsible for all activity under your account and your API keys, including calls made by software or AI agents you configure with them. Tell us right away at [email protected] if you suspect unauthorized access or a leaked key, and we'll help you rotate it.

Plans, billing & usage limits

Duebay offers the following plans: Free (free), Pro ($29/month), Scale ($99/month). Paid plans are billed monthly in advance via Stripe and renew automatically until cancelled. You can cancel at any time from your billing settings; your paid features remain active through the end of the period you've already paid for, and no partial-month refunds are issued except where required by law. The Free plan is limited to 10 active invoices at a time (see Pricing); paid plans allow unlimited active invoices and include a monthly API call allowance, with usage beyond that allowance billed as metered overage per call rather than blocked outright, at the rate published on the pricing page. We may change prices or quotas going forward, with notice before your next renewal.

Acceptable use of the API & MCP server

The API and MCP server are for managing your own receivables, or receivables you are authorized to manage on a client's behalf, as part of your product, workflow or agent, within your plan's published rate limit and monthly allowance. You agree not to:

• Exceed your plan's published rate limit or attempt to circumvent it (key rotation, distributed calling, etc.);
• Import invoice or contact data you do not have the legal right to process;
• Attempt to access other users' accounts, API keys, invoices or send logs, or reverse-engineer non-public parts of the Service; or
• Interfere with the Service's normal operation, including through excessive automated load outside your plan's limits.

We may suspend or terminate accounts, or revoke API keys, that violate this section.

Your data

You own the invoice and customer data you import and the records Duebay produces for you. We use them only to operate the Service for you, as described in our Privacy Policy. You can delete invoices, customers, and your account, and revoke API keys, at any time.

Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, and without any guarantee that a reminder will be delivered or answered, that a computed fee or metric is suitable for a specific dispute or compliance purpose, or that any invoice will be paid. To the fullest extent permitted by law, Duebay and its team are not liable for any indirect, incidental or consequential damages arising from your use of the Service, including an unpaid invoice, a miscommunicated fee, or a decision made by you or an agent you configure, even if we were advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access, or revoke API keys, for violation of these Terms or for non-payment on a paid plan, with reasonable notice where practical.

Changes to these Terms

We may update these Terms as the Service evolves. If we make a material change, we'll update the date above and, where appropriate, notify you by email before it takes effect.
